These terms are the agreement between you and Verdict System LLC, a Wyoming limited liability company ("we"), for Nexus Studio when you try it or subscribe to it through the account portal, and the terms of use of this website. You accept them when you start a trial, subscribe, or activate the software. If you accept them for a company, you confirm you may bind it, and "you" means that company. If you have signed a master license agreement with us, that agreement governs your license instead.
The Acceptable Use Policy is part of these terms. The Privacy Policy explains what we keep about you and why.
For business use. Nexus Studio is sold only to businesses and professionals for use in a trade, business or profession, not to consumers. By starting a trial, applying to a program or subscribing, you confirm that you act for a business and not as a consumer. At checkout we ask for your company's legal name and, where Stripe supports it for your country, its tax ID. If we learn that a purchase was made by a consumer, we refund it in full and end the license.
The license
While your trial or subscription is valid, we grant you a non-exclusive, non-transferable license, without the right to sublicense, to install and use Nexus Studio (the Studio, its engine, its command-line tool and their documentation) for your own or your organization's internal testing, on as many machines as your plan covers.
A machine is one computer where Nexus Studio is activated: a Windows PC running the Studio, or a Linux server running the engine. It is recognized by its machine hash, so reinstalling, or another user on the same computer, counts as the same machine. To move a license, deactivate the old machine in the portal. Users and test runs are not counted.
Parts of Nexus Studio are delivered as readable source code, under the LICENSE file included with it. Readable is not open source: that file reserves all rights and prohibits copying, modifying and redistributing the code. For you, these terms are the written permission that file refers to: they let you install and use the software as described here, and nothing in that file takes this license away. Security research done in good faith under our vulnerability disclosure policy is the exception, and those restrictions do not forbid it.
Keep your license key to yourself. If it leaks, regenerate it in the portal: the old key, and every machine activated with it, stop renewing.
Plans
- Trial: 1 machine for 30 days, free.
- Individual: 1 machine, billed monthly or yearly.
- Team: up to 3 machines, billed monthly or yearly.
- Business: up to 10 machines, billed monthly or yearly.
- Enterprise: the machines, term and price in a signed order form.
Every plan includes every feature. Prices are on the Pricing page and at checkout, before you pay, in US dollars and before any tax that applies. Payments are processed by Stripe; self-serve plans are paid by card.
Launch offer. Once the 40 Founding Customer seats are filled, a yearly Individual, Team or Business plan bought after that point and before 2026-12-31 23:59:59 UTC is 30% off for its first year, applied automatically at checkout and shown before you pay. The plan then renews at its regular yearly price. The offer does not apply to monthly plans or Enterprise, and is never combined with a Founding code.
Founding Customer Program
We approve up to 40 business customers by application. An approved applicant receives a one-use code for a monthly Individual, Team or Business plan. With it, the subscription is free for its first 180 days, then 50% off for the next 6 monthly charges ($39.50, $99.50 or $299.50), then charged at its regular monthly price ($79, $199 or $599), plus any tax that applies, every month until you cancel. Checkout asks for a card and shows these amounts and the date of the first charge before you confirm. Nothing is charged during the free period, and you can cancel in the portal under Plan & billing at any time; if you cancel during the free period, you are never charged. We email you 7 to 21 days before the free period ends and 7 to 21 days before the regular price starts, with the amount, the date and how to cancel.
In exchange, you agree to use Nexus Studio on a real application and to answer a short feedback form every 3 weeks; the Feedback section below applies to what you send. Your Founding benefits never depend on whether your feedback or any review is positive or negative. If you stop answering, we may end the discount: we email you 7 to 30 days before the first charge at the regular price, with the new amount and how to cancel, and you can cancel before then. We never take back a discount already applied. If we publish a quote or case study from you, with your separate written permission, it says that you received free and discounted service through this program. The code cannot be used with yearly billing, with Enterprise or with the launch offer, and it cannot be transferred.
You can change plans in the portal under Plan & billing. Moving to a plan with fewer machines keeps the machines you activated first; the others stop renewing and go read-only when their last confirmation runs out, until you deactivate machines to fit.
What you may not do
- Remove, bypass, patch or disable the license check, the confirmation it issues or read-only mode, or help anyone else do it.
- Share your license key, use more machines than your plan covers, or resell, rent or offer Nexus Studio as a service to others.
- Reverse engineer it, except where the law allows that despite this term.
- Use it against a system you are not authorized to test, or otherwise outside the Acceptable Use Policy.
Free trial
You can try Nexus Studio for 30 days, with no card, on 1 machine. The 30 days start when you first activate the software on a machine, not when you sign up. There is one trial per account and one per machine: a machine that has run a trial cannot run another one under a different account.
The trial ends by itself: there is no card on file and nothing to cancel, and it never turns into a paid plan unless you subscribe. When it ends, the Studio goes read-only. If you subscribe during the trial, your key stays the same and the paid period starts on the day you pay; unused trial days are not added to it.
Automatic renewal and how to cancel
A subscription renews automatically at the end of each monthly or yearly period, and we charge the card on file the price of your plan then in effect, plus any tax that applies, until you cancel.
- To cancel: sign in to the account portal, open Plan & billing and choose Cancel subscription. It takes as few steps as subscribing, and no email or phone call is needed.
- Canceling takes effect at the end of the current paid period. It stops the next renewal; the license keeps working until that period ends, then the Studio goes read-only. The portal shows the date it ends.
- Stripe emails a receipt and an invoice for every charge. The invoice names Verdict System LLC as the seller and shows your company's legal name, address and tax ID if you gave them at checkout. For a yearly plan, we email you about 30 days before it renews, early enough to cancel before it bills. At least once a year, we email every subscriber, monthly or yearly, a reminder of the plan, its price, how often it is charged and how to cancel.
- If the price of your plan changes, including when a free period or a discount ends, we email you 7 to 30 days before the new price applies (7 to 21 days when a free period or a discount ends), with the new amount, the date and how to cancel; you can cancel before then.
- Orders placed under a signed master license agreement or order form follow that agreement, not this page.
The license check and read-only mode
An activated Studio (or command-line tool) confirms its license with our servers when it starts and about once a day while it is online. The check sends a machine hash, a nonce and a token, never test data (your license key only once, at activation); the Privacy Policy lists exactly what it sends. Each successful check is good for 7 days. If the Studio cannot check in for 7 days, it shows how many days are left, and 4 days later (11 in all) it goes read-only until a check succeeds.
- Trial: ends exactly 30 days after the first activation.
- Active subscription: the license runs until 3 days after the end of the period you paid for, because the renewal charge clears shortly after the period ends.
- Failed payment: while Stripe retries, the license keeps working until 7 days after the end of the paid period. If it is still unpaid then, the Studio goes read-only until the payment goes through.
- Revoked license: checks stop succeeding at once, and each machine keeps the confirmation it holds until it runs out. A revoked license stops working on every machine within 11 days at most.
Read-only mode means you can still open, verify and report on the evidence you already have, but no new test run starts. A run already going when the license lapses finishes. Stopping work is always allowed: stopping a run, canceling an AI writer job, stopping a Docker operation or closing the recorder. Your tests and evidence stay yours and stay readable whatever the state of the license.
Refunds
- Trial: free, with no card, so there is nothing to refund.
- Monthly plans are not refundable. Cancel whenever you like: you keep the product until the end of the month you paid for.
- Yearly plans: 14-day money-back guarantee on your first yearly payment. Ask within 14 days of that payment and we refund it in full; the license is revoked when the refund is made. Later yearly renewals are not covered, so cancel before a renewal you do not want.
- Our billing mistakes, such as a duplicate charge, a charge after you had canceled, or a wrong amount: we refund the wrong charge in full, and you keep your license. A second subscription bought by mistake is detected and refunded automatically.
- Rights the law gives you that cannot be waived apply in addition to this list, as described below. Where the law grants a stronger right than this page states, the law wins.
- Orders under a signed agreement follow the refund terms of that agreement.
To ask for a refund, write to [email protected] from the email of your account. Refunds go back to the card that paid.
Chargebacks. If you dispute a charge with your bank instead of asking us, the license is revoked and the subscription canceled while the dispute is resolved. A revoked license does not come back with a new payment; write to us to sort it out.
Business customers only
Nexus Studio is sold only to businesses. We do not knowingly sell to consumers. If the law where you live treats you as a consumer anyway, you keep every right it gives you that cannot be waived, including rights about automatic renewal and cancellation, and any right to withdraw from an online purchase, such as the 14 days of the EU and the UK or the five business days of Colombia's Consumer Statute (Ley 1480 de 2011, article 47; it does not reach a purchase tied to your business activity). To use a withdrawal right, write to [email protected] from your account's email within that period, and we refund the payment in full. Some laws protect small businesses as they protect consumers; where such a law applies to you, you keep every right it gives you.
Testing only what you are authorized to test
Nexus Studio can perform active testing: security scans, load and chaos send real traffic to a real target. Running them against a system you are not authorized to test can be unlawful regardless of intent. The product asks you to confirm an authorization before it does any of that, and records it on your machine; that record is for your protection and does not transfer the responsibility. Authorization over the target is yours to hold. The Acceptable Use Policy sets out the rules.
Export controls and sanctions
Nexus Studio and the license service are subject to United States export control and sanctions laws, including the Export Administration Regulations and the regulations of the Office of Foreign Assets Control, and to the sanctions of the European Union, the United Kingdom and the United Nations. We do not sell to, and you may not use Nexus Studio in or make it available to, anyone located, organized or ordinarily resident in Cuba, Iran, North Korea, Syria, Russia, Belarus, or the Crimea, so-called Donetsk People's Republic or so-called Luhansk People's Republic regions of Ukraine. You confirm that you are not, and are not owned 50 percent or more or controlled by anyone, on a United States, European Union, United Kingdom or United Nations restricted party list, and that you will not export, reexport or transfer Nexus Studio, or let it be used by or for a government, military, intelligence or law-enforcement end user in a country subject to a United States arms embargo or in Country Group D of the Export Administration Regulations, or for any military end use, in breach of those laws. We may refuse, suspend or end a trial, subscription or license where we believe those laws require it, and we refund any unused prepaid amount where the law allows us to.
AI features
The AI writer and the AI analysis of a failed test are AI features. They run only with your AI connected: an AI provider you configure, a model on your own hardware, or an account you hold with Anthropic, OpenAI or a compatible service, under your own agreement with that provider. What these features send goes from your machine to that provider, never through us. Their output is a draft that can be wrong: review it before you run it against a system or rely on it. Test files the AI writer creates carry a comment at the top that says they were generated with AI; keep it if you share the file. We claim no ownership of what the AI features produce for you. Whether that output can be protected by copyright, and whether it resembles code someone else owns, depends on the provider you chose and on how much you change it, and we make no promise about either: the warranty in these terms does not cover AI output.
Your data
Nexus Studio runs your tests on your own machines, and we do not receive your tests, results or evidence unless you send them to us yourself, for example a screenshot attached to a support email. They leave your machines only when you send them, for example to an AI provider, Jira, Slack or Telegram you connect, to your own CI or SSH servers, or to us. What the account portal and the license check do keep, and why, is in the Privacy Policy; the providers that process it with us are on the Subprocessors page.
The license service
We run one hosted service: the account portal and the license check. We do not promise it is always available. If it is unreachable, an activated machine keeps working on the confirmation it holds, as described above, and goes read-only only if no check succeeds for 11 days.
What this site is
A description of a product, and an invitation to try it. It is not a quotation or an offer, and reading it does not create a contract or a warranty: your rights are in these terms and the documentation. We describe what the current release does and label what is planned as planned; if you find a statement the release does not match, tell us at [email protected] and we will correct the page. Anything that matters to a purchase should be confirmed in writing at the time, not read off a page you loaded once.
Warranty and liability
Limited warranty. For 30 days after you first pay for a plan, Nexus Studio will perform substantially as its documentation describes. If it does not, and you tell us within those 30 days, we will fix the problem or, if we cannot, end your subscription and refund what you paid for the current period. That is your sole and exclusive remedy for a breach of this warranty. The trial and any free period carry no warranty.
DISCLAIMER. EXCEPT FOR THE LIMITED WARRANTY ABOVE, NEXUS STUDIO, THE LICENSE SERVICE AND THIS SITE ARE PROVIDED "AS IS" AND "WITH ALL FAULTS". TO THE EXTENT THE LAW ALLOWS, WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED. Testing shows that defects are present, never that they are absent: a clean run is evidence about the tests that ran, not a certification of what they tested.
LIMITATION OF LIABILITY. TO THE EXTENT THE LAW ALLOWS, NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, REVENUE OR DATA, AND OUR TOTAL LIABILITY FOR ALL CLAIMS IS LIMITED TO THE GREATER OF WHAT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AND US$100. These limits do not apply to your breach of the license restrictions or the Acceptable Use Policy (except security research within our vulnerability disclosure policy), to amounts you owe us, or to liability that cannot lawfully be limited, including for death, personal injury, fraud, gross negligence, willful misconduct, or under mandatory product liability law.
Ending the license
You end it by canceling, or by deleting your account in the portal. We can end it if you break these terms, in particular the restrictions above or the Acceptable Use Policy, up to revoking the license; the Studio then goes read-only once its last confirmation runs out.
Changes to these terms
When these terms change, the date at the top changes with them. If a change affects your subscription, we email you before it applies, and it takes effect from your next renewal; if you do not agree, cancel before then. The portal asks you to accept the current version before you start a trial.
Feedback
If you send us suggestions, bug reports or other feedback about Nexus Studio, you give us a perpetual, irrevocable, worldwide, royalty-free license to use it to improve and sell our products, without owing you anything for it. We never publish your name, your company's name, your data or your evidence as part of it without your separate written permission.
Intellectual property
Nexus Studio, its source code and the content of this site belong to us or to our licensors. Your tests, your data and your evidence belong to you. Nothing in these terms transfers ownership either way.
Governing law
These terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict of laws rules: the same law as our master license agreement. The United Nations Convention on Contracts for the International Sale of Goods does not apply. The state and federal courts located in Wyoming have exclusive jurisdiction. If you are a consumer, this does not take away the protection of the mandatory law of the country where you live, and you may also bring proceedings in the courts where you live.
